Terms of Service

1. Agreement to Terms

By accessing or using Term Seeker ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Term Seeker is provided by Flewidity Ltd, a company registered in England and Wales (company number 16615633) whose registered office is at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ ("Flewidity," "we," "us," or "our"). These Terms apply to all users of the Service.

2. Description of Service

Term Seeker is a web application for mortgage and specialist finance brokers. It helps you:

• Enter a case's details once in a guided form
• Choose which lenders on your own panel should receive an enquiry
• Generate consistent lender enquiry emails from templates
• Review, edit and send those emails from your own connected mailbox

Term Seeker is a drafting and sending tool. It does not give financial advice, and you remain responsible for the content of every enquiry you send.

3. User Accounts

3.1 Account Creation

To use Term Seeker, you must:

• Create an account with accurate information
• Be at least 18 years of age
• Maintain the security of your password
• Notify us immediately of any unauthorized use

3.2 Account Responsibilities

You are responsible for:

• All activity that occurs under your account
• Maintaining the confidentiality of your credentials
• Ensuring your use complies with these Terms
• The accuracy of information you provide

4. Subscription and Payment

4.1 Pricing

Access to Term Seeker requires an active paid subscription. Pricing is available on our website and may change with notice. Prices are in pounds sterling and include VAT at the applicable rate (Flewidity Ltd VAT number GB525193592).

4.2 Billing

• Subscriptions are billed monthly in advance
• Payments are processed through Stripe
• Charges are non-refundable except as required by law
• You authorize us to charge your payment method on each billing cycle

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

4.4 Failed Payments

If payment fails, we may suspend your access until payment is resolved. After 30 days, your account may be terminated.

5. Email Sending and OAuth

5.1 Email Permissions

By connecting your Microsoft or Google email account:

• You grant us permission to send emails on your behalf
• Emails are sent from YOUR email account
• You remain responsible for all emails sent through the Service
• You can revoke access at any time

5.2 Email Usage Restrictions

You agree NOT to use the email functionality to:

• Send spam, unsolicited emails, or marketing communications
• Break anti-spam or data protection laws (such as PECR and UK GDPR)
• Send malicious content or phishing attempts
• Harass, threaten, or abuse recipients
• Violate any applicable laws or regulations

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Scrape, crawl, or harvest data from the Service
• Reverse engineer or attempt to extract source code
• Share your account credentials with others
• Use the Service to compete with us
• Resell or redistribute the Service without permission

7. Intellectual Property

7.1 Our IP

The Service, including all software, designs, text, graphics, and other content, is owned by us or our licensors and protected by intellectual property laws. You may not copy, modify, or distribute our IP without permission.

7.2 Your Content

You retain ownership of the case details, lender contacts, templates and other data you enter. By entering content, you grant us a license to:

• Use your data to generate and send the enquiries you request
• Store your data to provide the Service
• Use anonymized, aggregated data for analytics and improvements

7.3 Feedback

Any feedback, suggestions, or ideas you provide become our property, and we may use them without compensation or attribution.

8. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy at https://term-seeker.com/privacy. By using the Service, you consent to our Privacy Policy. Where we process personal data on your behalf, the Data Processing Schedule in section 19 applies.

9. Service Availability

We strive to provide reliable service but cannot guarantee:

• Uninterrupted or error-free operation
• 100% uptime or availability
• Freedom from viruses or other harmful components
• Accuracy or reliability of results

We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of data

You use the Service at your own risk. We do not warrant that generated emails are accurate or complete. You should review every enquiry before sending it.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use or inability to use the Service
• Errors or inaccuracies in generated emails
• Unauthorized access to your data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under the laws of England and Wales.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Emails sent using your connected account
• Content you upload to the Service

13. Termination

13.1 By You

You may terminate your account at any time by canceling your subscription.

13.2 By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Abuse the Service or other users

13.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• Your data may be deleted after 30 days
• You may request a data export before deletion
• Sections 7, 10, 11, 12, 14 and 19 survive termination

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at hello@term-seeker.com to resolve the dispute informally.

14.2 Courts

If a dispute cannot be resolved informally, the courts of England and Wales have exclusive jurisdiction over any dispute arising from these Terms or the Service.

15. Governing Law

These Terms are governed by the laws of England and Wales.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be notified by email or prominent notice on the Service. Continued use after changes constitutes acceptance. If you disagree, you must stop using the Service.

17. General Provisions

17.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver.

17.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

19. Data Processing Schedule

This schedule forms part of these Terms and applies where we process personal data on your behalf in providing the Service. It is intended to meet the requirements of Article 28 of the UK GDPR. In this schedule, you are the "controller", we are the "processor", and terms such as "personal data", "processing" and "personal data breach" have the meanings given in the UK GDPR.

19.1 Details of the Processing

• Subject matter and purpose: storing the case details, lender contacts and templates you enter, and using them to generate and send the lender enquiries you request
• Nature: collection, storage, retrieval, formatting into emails, transmission via your connected mailbox, and deletion
• Duration: for as long as you have an account, plus the deletion period in section 19.8
• Data subjects: your clients and prospective clients (such as borrowers and guarantors), and the lender contacts you add
• Types of personal data: names, contact details, property addresses, loan amounts, borrowing and experience details, and any other information you choose to enter

You must not enter special category data (such as health information) or criminal offence data unless it is necessary for the enquiry and you have a lawful basis for sharing it.

19.2 Your Responsibilities

You are responsible for having a lawful basis to process your clients' personal data, for giving them any required privacy information, and for the lawfulness of the instructions you give us.

19.3 Our Obligations

We will:

• Process the personal data only on your documented instructions, which are these Terms and your use of the Service, unless the law requires otherwise (in which case we will tell you first, unless the law prohibits it)
• Tell you promptly if we believe an instruction breaks data protection law
• Ensure that anyone we authorise to process the personal data is bound by confidentiality
• Take appropriate technical and organisational measures to protect the personal data, as required by Article 32 of the UK GDPR, including those described in section 5 of our Privacy Policy
• Help you, taking into account the nature of the processing, to respond to requests from data subjects exercising their rights
• Help you meet your obligations on security, breach notification, data protection impact assessments and prior consultation with the ICO

19.4 Sub-processors

You give general authorisation for us to use the following sub-processors:

• Vercel Inc. – application hosting (UK region)
• Supabase Inc. – database hosting (European Union)

We will give you at least 30 days' notice by email before adding or replacing a sub-processor, and you may object on reasonable data protection grounds. If we cannot address your objection, you may cancel your subscription. We will impose data protection obligations on each sub-processor equivalent to those in this schedule, and we remain liable to you for their performance.

Emails you send through Term Seeker are sent from your own Google or Microsoft mailbox. Those providers act under your own agreement with them, not as our sub-processors.

19.5 International Transfers

Where personal data is transferred outside the UK, including where a sub-processor's staff access it from another country, we will ensure the transfer is covered by UK adequacy regulations or appropriate safeguards, such as the UK International Data Transfer Agreement or Addendum.

19.6 Personal Data Breaches

We will notify you without undue delay, and in any event within 48 hours, after becoming aware of a personal data breach affecting your personal data. We will give you the information you reasonably need to meet your own obligations, including notifying the ICO or affected individuals.

19.7 Information and Audits

We will make available the information reasonably necessary to demonstrate our compliance with this schedule, and respond to reasonable written questions. Where that is not enough, we will allow an audit by you or an auditor you appoint, on at least 30 days' notice, no more than once a year, at your cost, and subject to reasonable confidentiality obligations.

19.8 Return and Deletion

You can delete your account at any time from your account settings, and we will export your data on request. When your account is closed, we will delete the personal data we process on your behalf within 30 days, unless the law requires us to keep it. Backups are overwritten in line with our normal backup cycle.
